United States - Franchisors Required to Make Y2K Disclosure The North American Securities Administrators Association has issued a release requiring franchisors to disclose Year 2000 computer problems in their Uniform Franchise Offering Circulars ("UFOC"). The disclosure should cover potential problems in the hardware and software that a franchisee is required to use under the franchise agreement, results of a franchisor's investigation of potential problems in its own computer equipment, and discussion of problems that could arise because of non-compliance by the franchisor's vendors and contract partners. Any new filing should include the Y2K disclosure. In some states, franchisors are being asked to amend their UFOCs to add the disclosure.
